As a vibrant, growing organization, Desert Angels welcomes new members. If you are an accredited investor with an appetite for helping early-stage companies succeed, we’d love to get to know you better at one of our upcoming dinner meetings which are typically held monthly. In addition to listening to one or two companies present their investment opportunities, members often hear from nationally recognized speakers including successful entrepreneurs, venture capitalists, and thought leaders in the angel investment community.

We encourage prospective members to join us at a dinner meeting as guests of the organization to learn more about angel investing, meet our existing members, and observe how Desert Angels evaluates entrepreneurial companies. We are confident you will find our meetings to be relaxing and informative.

Under federal law, only Accredited Investors may become members of angel investment groups, including the Desert Angels. Accredited Investors are defined as individuals who have an individual net worth, or joint net worth with a spouse, of at least $1,000,000; or individuals with annual income above $200,000 if single, or $300,000 if married.

Note: All Membership rates are for a 12-month subscription membership. Each Membership year starts on July 1 and ends on June 30. Membership charges may be pro-rated with the first year of membership starting on the 1st day of the month following registration for new membership subscriptions purchased and paid AFTER the 10th day of the month.

Active Membership $2,300

Active members will actively participate in the deal flow management conducted by Desert Angels. An Active Member will invest at the minimum annual rate prescribed (currently $10,000 average per year), and participate in Dealum at a rate of 12-20 hrs/month in deal reviews, voting with commentary and questions, participation in screening, due diligence, etc.

Active members must certify themselves as being SEC Qualified Accredited Investors.

Guest Policy: Members that invite Guests to Pitch Meetings, virtual, or in-person events must complete the DA Guest Form. When these Guests join as any Membership type within the same season the inviting Member will receive $100 credit towards their next season dues. There is no guest fee for the first two guests per membership year (season). For each guest invited to a membership meeting, there will be a $100 guest fee assessed from the Member.

Deal Room Rights & Obligations: Active Members shall have full access rights to all deal flow processing functionality including Funnel Step-enabled voting, Chat, and Document and Link viewing. They will have access to the full Shared Documents Library and may view the full member list.

Investment Obligation: Active members will participate by investing in an average amount of not less than $10,000 each year as measured over each sequential 3-year period.

Supporting Membership $3,300

Supporting members participate having no investment or monthly active participation (screening, diligence, etc.) requirement, but have access to all deals and investment vehicles and events. They have full meeting attendance privileges.

Supporting members must certify themselves as being SEC Qualified Accredited Investors.

Investment Obligation: Supporting Members as Accredited Investors may invest in any SPV formed by Desert Angels to invest in an opportunity or “deal” presented to Desert Angels. There is no minimum annual investment obligation associated with a Supporting Membership.

Affiliate Membership $3,300

Affiliate members participate having no investment or monthly active participation (screening, diligence, etc.) requirement, but have non-investor access to all deals and investment vehicles and events. They have full meeting attendance privileges.

To be eligible to participate as an investor, a member must certify themselves as being SEC Qualified Accredited Investors, and enroll as one of a Developing (limited to a maximum of 2 years from initial enrollment), Supporting, or Active member.

Guest Policy: Affiliate Members may have one (1) member attend each in-person meeting. Affiliate Members may have up to 2 guests who are considering enrollment as a new member of Desert Angels attend an in-person meeting each year. Invitations to guests of an educational nature, such as startup founders, or members of an active incubator or accelerator cohort, may be invited to attend subject to the $100 per guest fee to be paid either before, or at the meeting.

Deal Room Rights & Obligations: Affiliate Members shall have access rights to an overview of each application or “deal” within the Desert Angels deal flow funnel starting at the Pre-screening stage. They will have access to the full Shared Documents Library and may view the full member list.

Investment Obligation: Affiliate Members wishing to invest in any deal presented to Desert Angels, must enroll as either an Active or a Supporting Member, and submit their certification as an Accredited Investor.

Virtual Membership $ 1,500

Virtual membership is only available to existing Virtual Members as of 06/30/2024.

To be a Virtual member, your primary address must be more than 50 miles from Tucson, AZ.

Virtual members must certify themselves as being SEC Qualified Accredited Investors.

This membership type is available ONLY for the current year (July 1, 2024, to June 30, 2025). The opportunity to renew as a Virtual Member for the next fiscal year, starting July 1, 2025, is subject to Board approval before that date and will require selection of either Active or Supporting membership.

Guest Policy: Virtual Members will not typically attend in-person meetings, and do not have Guest invitation rights.

Deal Room Rights & Obligations: Virtual Members shall have full access rights to all deal flow processing functionality including Funnel Step-enabled voting, Chat, and Document and Link viewing. They have access to the full Shared Documents Library and may view the full member list. They have no deal flow management participation requirements.

Investment Obligation: Virtual members will participate by investing an average amount of not less than $10,000 each year as measured over each sequential 3-year period.

Emerging Membership $1,500

Emerging membership is only available to newly enrolled members who have no prior angel investment experience.

This membership level is defined to allow new members to initiate familiarity w/angel investment, without any investing requirement. They are eligible for virtual meetings.

Attending an in-person meeting requires paying the guest fee.

Emerging Members will choose to move to Active or Supporting Members by the end of two seasons.

Guest Policy: Emerging members may invite a guest to attend an in-person meeting subject to the paid-in-advance guest fee of $100.

Deal Room Rights & Obligations: Emerging Members shall have full access rights to all deal flow processing functionality including Funnel Step-enabled voting, Chat, and Document and Link viewing. They will have access to the full Shared Documents Library and may view the full member list.

Investment Obligation: Emerging members do not have a minimum investment obligation while participating as an Emerging member. Emerging members who are Accredited Investors have the opportunity to participate with investment in deals presented to the Desert Angels application funnel.

Sustaining Membership $400

Sustaining membership is defined to enable prior members of Desert Angels who have made investments in one or more Desert Angels invested portfolio companies such that they may have access to the portfolio investment information presented in the Desert Angels portfolio to view the entries presented for the companies in which they have made and declared their investments.

A Sustaining Member may attend any virtual meeting or event to which they have received an invitation from the Desert Angels deal room.

They do not have access to active deal flow, or related chat, voting, or documents.

They may attend an in-person meeting subject to payment of the applicable meeting charge being paid in advance.

They may attend one Desert Angels-sponsored social event each membership year.

They may attend additional social networking events subject to payment in advance for the social event charge.

Guest Policy for Sustaining Members: Sustaining members may invite a guest to any in-person meeting that the Sustaining member is attending subject to payment of the then-current guest plate charge.

Deal Room Rights & Obligations: Sustaining members will not have access to either the active deal flow funnel or the application database other than access to the Portfolio where they may view the investments to which they have made and disclose the value of their investment in one or more of the Desert Angels portfolio investment companies.

Investment Obligation: Sustaining members cannot make investments in deals presented to Desert Angels beyond their existing disclosed investments made in Desert Angels portfolio companies.
